(b) Departure of Certain Officers.

By letter dated November 6, 2015, our Chief Financial Officer, Richard P. Thomley, announced his decision to resign from his position, and to return to retirement. The resignation was effective immediately. Such resignation was not due to a disagreement with the Registrant on any matter relating to the Registrant’s operations, policies or practice.

Our Chief Executive Officer, Richard T. Schumacher, will be the acting Chief Financial Officer until we find a replacement for Mr. Thomley.
